InvoiceFly – Terms of Use
Effective date: January 1st, 2024
These Terms of Use (“Terms”) govern the access and use of the software services provided by Labhouse Mobile, SL, a Spanish company registered at Plaça de Pau Vila, 1, Ciutat Vella, 08039 Barcelona, Spain (“InvoiceFly”, “we”, “us”, or “our”), through its website (invoicefly.com), mobile applications, web app (app.invoicefly.com), and other digital platforms (collectively, the “Service”). By accessing or using the Service, you (“User”, “you” or “your”) agree to be bound by these Terms.
If you are entering into this agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity to these Terms, in which case “you” shall refer to such entity.
1. Description of the Service
InvoiceFly is a cloud-based invoicing and business administration platform designed to help freelancers, contractors, and small businesses create and manage invoices, estimates, proformas, receipts, expense reports, time tracking, and other commercial documents. The Service may also include integrations with third-party tools (e.g., payment gateways, analytics platforms), mobile applications, notifications, client portals, and other productivity-enhancing features.
We reserve the right to enhance, update, modify, or discontinue the Service (in whole or in part) at any time. Where required by law or reasonably necessary, we will notify you of material changes in advance.
2. Eligibility and Account Registration
To use the Service, you must:
- Be at least 18 years old;
- Have full legal capacity to enter into binding contracts;
- Provide truthful and complete information during the registration process;
- Not be barred from using the Service under applicable laws.
Upon registration, you must create an account and provide a valid email address, which will serve as your unique login identifier. You are responsible for maintaining the confidentiality of your login credentials and any activity that occurs under your account.
You agree to notify InvoiceFly immediately of any unauthorized use of your account or security breach. We are not liable for any losses arising from your failure to protect your credentials.
3. Acceptable Use Policy
You agree to use the Service in compliance with applicable laws, regulations, and these Terms. You shall not:
- Use the Service for any illegal, fraudulent, or unauthorized purpose;
- Interfere with the operation or security of the Service;
- Reverse-engineer, decompile, or disassemble any part of the Service;
- Upload or transmit any viruses, malware, or harmful code;
- Attempt to access other users’ accounts or data without authorization;
- Exploit the Service in a manner that could damage, disable, overburden, or impair our infrastructure.
We reserve the right to investigate any suspected violations and suspend or terminate access to the Service at our discretion.
4. Subscription Plans, Billing and Payments
Certain features of the Service are available only under paid subscription plans. You can select a plan that suits your needs via the InvoiceFly website or app. All pricing is displayed in the local currency (unless otherwise specified) and is exclusive of applicable taxes.
4.1. Billing and Renewals
- Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you choose.
- Unless canceled prior to the renewal date, your subscription will automatically renew.
- You authorize us or our third-party payment processors to charge your designated payment method.
4.2. Refunds and Downgrades
- We do not offer refunds for partial months, unused features, or plan downgrades, except as required by law.
- If you downgrade your plan or cancel your subscription, the change will take effect at the end of your current billing period.
- In exceptional cases (e.g., billing errors), refund requests may be considered at our sole discretion.
4.3. Late Payments
Failure to pay any fees may result in suspension or termination of your access to the Service. We may attempt to reprocess failed payments before taking further action.
5. Intellectual Property
InvoiceFly retains all rights, title, and interest in and to the Service, including but not limited to all software, designs, trademarks, logos, content, and proprietary technologies.
Except as expressly authorized by us, you may not:
- Copy, reproduce, distribute, or modify any part of the Service;
- Use our trademarks or branding without prior written consent;
- Develop a competing service using our intellectual property.
You retain all rights to the data you input or upload into the Service (“User Content”). By using the Service, you grant us a non-exclusive, royalty-free, worldwide license to use, process, store, and transmit your User Content for the purposes of providing the Service.
6. Third-Party Services and Integrations
The Service may provide links to or integrate with third-party services (e.g., Stripe, PayPal, Google Analytics). We are not responsible for the availability, functionality, or legality of such third-party services. Your use of any third-party service is governed by its respective terms and privacy policies.
We may share certain User Data with third parties to the extent necessary to provide the Service, in accordance with our Privacy Policy and Data Processing Agreement (DPA).
7. Data Protection and Privacy
We are committed to protecting your personal data and complying with all applicable data protection laws, including the EU General Data Protection Regulation (GDPR) and other relevant privacy frameworks.
The collection, use, processing, and storage of personal data by InvoiceFly is governed by:
- Our Privacy Policy, and
- Our Data Processing Agreement (DPA), when applicable under GDPR or other data processing regulations.
You acknowledge and agree that by using the Service, you have read and understood our Privacy Policy and DPA, and you accept their terms.
7.1. Roles and Responsibilities
- You act as the Controller of the data you submit or manage through the Service, including any personal information of your clients or team members.
- InvoiceFly acts as the Processor of that data, processing it solely on your behalf and under your instructions, except where required otherwise by applicable law.
7.2. User Data
User Data includes any data entered, uploaded, or otherwise processed by you or your authorized users through the Service. You retain full ownership of this data. We will only access or process this data to provide the Service, ensure security, support compliance, or respond to legal obligations.
You are solely responsible for:
- Ensuring you have the right to collect and process any personal data you input into the Service.
- Providing adequate notice and obtaining any necessary consents from data subjects.
- Keeping your data accurate, current, and lawful.
8. Confidentiality and Security
8.1. Confidentiality
Each party agrees to treat all non-public information exchanged in connection with the Service as confidential and will not disclose it to third parties without prior written consent, except as required by law.
We ensure that our employees and subprocessors are subject to confidentiality obligations aligned with this clause.
8.2. Data Security
InvoiceFly implements industry-standard technical and organizational measures to protect your data from unauthorized access, disclosure, alteration, or destruction. These include:
- TLS encryption for data in transit;
- Encrypted storage of sensitive information;
- Logical access controls and secure authentication;
- Regular security assessments and monitoring.
Our infrastructure is hosted by Google Firebase (U.S.), and data backups are mirrored across multiple locations to ensure resilience. Access to production environments is limited to authorized personnel.
Please note that no system is completely secure. You are responsible for securing your login credentials and ensuring that you and your users follow best practices regarding account and device security.
9. User Responsibilities
You represent and warrant that:
- You will use the Service in full compliance with all applicable laws and regulations.
- You will not use the Service to store or process sensitive personal data unless authorized under law and our DPA (e.g., health data, biometric data, financial account credentials, etc.).
- You will ensure your authorized users understand and comply with these Terms.
You are responsible for:
- The accuracy, legality, and integrity of all User Data submitted;
- The security of your own systems and access credentials;
- Maintaining up-to-date billing and contact information;
- Ensuring compliance with applicable export controls and sanctions laws, if relevant.
10. Service Limitations and Availability
We aim to provide the Service with high availability and performance. However, we do not guarantee that the Service will be uninterrupted, error-free, or available at all times.
10.1. Scheduled Maintenance and Updates
We may perform routine maintenance or software updates that may temporarily affect Service availability. Where feasible, we will provide reasonable prior notice.
10.2. Beta Features
From time to time, we may offer beta features or experimental functionality. Such features are provided “as is” and may be modified or discontinued at our discretion. You use them at your own risk.
10.3. Force Majeure
We are not liable for any delays or failures in performance due to events beyond our reasonable control, including acts of God, war, strikes, pandemics, power failures, natural disasters, internet outages, or governmental actions.
11. Termination and Suspension
11.1. Termination by User
You may cancel your subscription and terminate this Agreement at any time by:
- Submitting a cancellation request through your InvoiceFly account; or
- Sending an email from your account email address to mike@invoicefly.com.
Termination will take effect at the end of your current billing cycle unless stated otherwise.
No refunds or credits will be provided for unused periods unless required by law or specifically agreed in writing.
11.2. Termination by InvoiceFly
We may suspend or terminate your access to the Service:
- For material breach of these Terms;
- If your account is overdue and payment has not been received after reminders;
- If required by law or in response to legal process;
- If your use of the Service creates a risk of legal liability or security threats.
11.3. Consequences of Termination
Upon termination:
- You must cease all use of the Service;
- Your access and any associated user accounts will be disabled;
- You may request deletion of your data (see DPA and Privacy Policy);
- We may retain limited data if required by applicable law (e.g., anti-fraud or tax regulations).
12. Disclaimers and Limitation of Liability
12.1. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee:
- That the Service will meet your specific needs;
- That the Service will be uninterrupted, secure, or error-free;
- That the results obtained from the Service will be accurate or reliable.
To the maximum extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
12.2. Limitation of Liability
To the fullest extent permitted by law:
- InvoiceFly will not be liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, revenue, or data);
- Our total liability under these Terms will not exceed the amounts paid by you to InvoiceFly in the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations or exclusions of liability. In such cases, our liability will be limited to the maximum extent permitted by applicable law.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Spain, without regard to conflict of law principles.
You agree that any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Barcelona, Spain.
Notwithstanding the foregoing, InvoiceFly reserves the right to seek injunctive or equitable relief in any jurisdiction.
14. Miscellaneous
14.1. Entire Agreement
These Terms, together with the Privacy Policy, Data Processing Agreement, and any other legal notices or policies published by InvoiceFly, constitute the entire agreement between you and InvoiceFly regarding the Service.
14.2. Amendments
InvoiceFly may amend these Terms at any time by posting updated terms on the website. Material changes will be communicated reasonably in advance. Continued use of the Service after changes constitutes acceptance of the new terms.
14.3. Severability
If any provision of these Terms is found unenforceable or invalid, the remaining provisions will remain in full force and effect.
14.4. Waiver
Failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.
14.5. Assignment
You may not assign or transfer your rights or obligations under these Terms without prior written consent from InvoiceFly. InvoiceFly may assign or transfer these Terms without restriction.
15. Data Processing Agreement (DPA) Summary
As part of compliance with GDPR and other privacy laws, InvoiceFly acts as a data processor on your behalf. The full DPA is incorporated by reference and available at: https://invoicefly.com/security.
15.1. Processing Purpose
We process User Data solely to provide, maintain, and improve the Service and to comply with applicable legal obligations.
15.2. Security Measures
We maintain technical and organizational security measures consistent with industry standards and legal requirements.
15.3. Subprocessors
InvoiceFly uses subprocessors to deliver the Service (e.g., Google Firebase, Stripe for payments). A current list of subprocessors is available upon request. We ensure that subprocessors are bound by data protection obligations.
15.4. Data Subject Rights
You retain responsibility to respond to data subject requests under applicable laws. InvoiceFly will assist to the extent reasonably possible.
15.5. Data Breach Notification
In the event of a personal data breach affecting your User Data, InvoiceFly will notify you without undue delay after becoming aware of the breach.
15.6. Data Return and Deletion
Upon termination of the Service, you may export or retrieve your User Data. We will delete or anonymize your User Data according to the terms of the DPA and Privacy Policy.
